AGREEMENT OF CESSION

Madrid (Spain) 17th November 2011 BY AND BETWEEN

COMERCIAL IBEROAMERICANA S.A (COIBA) whose registrated office is at Augustin de Foxa 25-5B Madrid 2 AG8036 Sapin with tax number A/78044005, represented by EVIS PLACER CERVERA and TOMAS DIAZ AGUDO ( the Cedent ) And ALTABANA, S.L. a company duly incorporated under Spanish laws and having its fiscal address at Agustin de Foxa 25, madrid, Spain, with tax number B/82793035, represented by MR. JORGE LUIS FERNANDEZ MAIQUE and MR BUENAVENTURA JIMENEZ SANCHEZ CANETE (the Cessionary ) And JULIETA D.O.O. whose registrated office is at Kneginje Zorke 2, 11000 Belgrade, Serbia with tax number 102836088, represented by MRS LJILJANA DESPOT (the Debtor )

Hereinafter, the Cedent and Cessionary shall be called as The Parties. WHEREAS I. The Cedent owns the credit against Debtor for Common Fund on total amount of 5.679,63 EUR (hereinafter, the Debt) with open due date of payment that has arisen as a consequenses of the invoices B 3088 date 11.12.2008 on amount of 1.217,33 EUR bank transfer, B 4034 date 01.07.2009. on amount of 4.333,00 EUR bank transfer and B 3042 date 12.02.2008 on amount of 129,30 EUR bank transfer.

II. The Cedent wishes to assign he Debt, and Cessionary wish acquire the property of the Debt, so Parties agree to celebrate the present Agreement of Cession, subject to what is herein stated in the following.

CLAUSES FIRST. ASSIMENT OF THE DEBT

1.1. By means of this contract the Cedent absolutely, irrevocably and unconditionally assigns to te Cessionary all the Cedents rights releted to the Debt, and hereby the Cedent accept this assigment. 1.2. The Parties agree that the Cessionary shall not pay or compensate the Cedent with any amout upon the assignment carried out pursuant to this contract. 1.3. Notwithstanding the above, the Cessionary is undertaken to give the amount of the Debt to the Cedent as soon as ther Debt has been charged from the Debtor by the Cessionary.

SECOND .- CESSIONARYS OBLIGATIONS 2.1. Upon the assigment hereby, the Cessionary has no obligation against the Cedent unless the restitution of the Debts amount stated in the clause above. 2.2. Notwithstanding the above, the Cessionary shall defend the amount, ownership and title of the Debt against the Debtor or any third party in order to charge all amount of the Debt.

THIRD.-

GOVERNING LAW AND DISPUTE RESOLUTION

3.1. This contract shall be governed by laws of Spain. Any dispute between the Contracting Perties in relation to this contract shall be difinitively setteled by the competent courts of Madrid.
