The board of directors is more responsible for the company than all its stake holders and can win their confidence through the disclosures and transparency in operations. For its operations the board must consist of both directors and independent directors. Its direct responsibility is also towards the management , the audit committee , the employees , the customers , and society at large. For all these constituents to work harmoniously, an ethical culture is imporatnt

Rights of shareholders
To obtain copies of the memorandum or articles of association of the company To obtain the certificate of shares, to transfer them or appeal to the company if aggrieved of their rights , and to preferential right to purchase shares on a pro-rata basis. To inspect the register and the index of the members , their annual returns ,register of charges and of investments , and also take extracts from them.

Rights of shareholders
To receive notices to general meetings , participate in elections and vote at such meetings ; in special cases , if need be , give notice for a general or extra ordinary session to investigate the affairs of the company. To demand the minutes of general meetings. To receive a copy of the statutory report , annual report of the directors , annual accounts , and auditors report.

To make application to the company for relief in the case of oppression and mismanagement. To petition the court to wind up the companys operations and to participate in the companys final assets.
